These Terms & Conditions (“Terms”) govern your access to and use of the Dyalek mobile application, website and services operated by Bazario Private Limited (“we”, “us”, “our”). By creating an account or using Dyalek, you agree to be bound by these Terms.

1. Nature of the platform

Dyalek is a B2B marketplace that connects business buyers and sellers for bulk transactions. We facilitate discovery, ordering, payment and logistics, but we are not the manufacturer of most products listed on the platform.

2. Eligibility

Dyalek is intended only for business and commercial use, not for individual consumer use.
You must be at least 18 years old and have the authority to enter into binding contracts on behalf of your business.
By using Dyalek, you confirm that all information provided during registration is accurate and complete.

3. Account registration & security

You are responsible for maintaining the confidentiality of your login credentials.
You agree to notify us immediately if you suspect unauthorised access to your account.
We reserve the right to suspend or terminate accounts that provide false information or misuse the platform.

4. Use of the Service

You agree that you will not:

Use Dyalek for any unlawful, fraudulent or unauthorised purpose.
Interfere with the proper operation of the platform, including through hacking, scraping or automated access.
Upload or transmit any content that is illegal, harmful, obscene or infringing the rights of others.
Bypass or attempt to bypass any security or authentication measures.

5. Listings, prices & taxes

Product descriptions, specifications, quantities, prices and images are provided by sellers and are their responsibility.
Prices displayed may be inclusive or exclusive of applicable taxes as indicated on the product or checkout page.
Final payable amount may include taxes, shipping and other charges shown at checkout.
We reserve the right to correct any pricing errors or cancel orders where pricing is incorrect due to typographical or technical error.

6. Orders & contracts

Placing an order on Dyalek is an offer to buy products from the seller. The order is accepted when it is confirmed by the seller and/or we send you an order confirmation.
Orders may be subject to minimum order quantities (MOQs) and seller approval.
We may cancel or refuse any order due to stock issues, pricing errors, regulatory reasons or suspected fraud.

7. Payments

Payments on Dyalek are processed through secure third-party payment gateways such as Razorpay.
By making a payment, you agree to the terms, policies and charges of the payment gateway in addition to these Terms.
We do not store your full card, UPI PIN or net banking passwords.
Orders are processed only after successful payment authorisation, unless otherwise specified (e.g. agreed credit terms between buyer and seller, where applicable).

8. Shipping, delivery & risk

Estimated delivery times are provided for guidance and are not guaranteed.
Risk of loss passes to the buyer upon delivery to the buyer’s address or as per the agreed delivery terms.
You agree to provide accurate delivery information and ensure someone is available to receive the goods.

9. Returns, refunds & cancellations

Our general principles are outlined in the Refund & Cancellation Policy. Key points:

Due to the B2B and bulk nature of transactions, returns may be limited and subject to seller approval.
Damaged, defective or wrong-item deliveries should be reported within the time window mentioned in the Refund & Cancellation Policy.
Refunds, if approved, are processed back to the original payment method, subject to banking and payment gateway timelines.

10. Seller obligations

For sellers registered on Dyalek:

You must comply with all applicable laws, including taxation, product safety and labelling requirements.
You are responsible for the quality, authenticity and legality of the products you list and sell.
You agree not to list restricted or prohibited items as per our policies and applicable law.

11. Intellectual property

All content on Dyalek, including logos, trademarks, text, graphics, and software, is owned by or licensed to Bazario Private Limited or its licensors.
You may not copy, modify, distribute or create derivative works from our content without prior written permission.

12. Limitation of liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential or punitive damages arising from your use of Dyalek.
Our total aggregate liability for any claim relating to the Service will be limited to the amount actually paid by you for the relevant order or transaction.

13. Indemnity

You agree to indemnify and hold harmless Bazario Private Limited, its directors, employees and partners from any claims, damages, losses or expenses arising from your use of Dyalek, your breach of these Terms, or your violation of any law or rights of a third party.

14. Termination

We may suspend or terminate your access to Dyalek at any time, with or without notice, if we believe you have violated these Terms or applicable law.
You may stop using the Service at any time. Certain obligations (such as payment of dues) will survive termination.

15. Governing law & dispute resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms or your use of Dyalek shall be subject to the exclusive jurisdiction of the competent courts in our registered jurisdiction, subject to applicable law.

16. Changes to the Terms

We may update these Terms from time to time. The latest version will be posted on this page with the updated date. By continuing to use Dyalek after changes, you accept the revised Terms.
